Terms of Service

Welcome to PrivateVoice (the "Application"), provided by Basebright Inc. ("Company," "we," "us"). By downloading, installing, or using the Application, you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these Terms, you must not access or use the Application.

1. Acceptance of Terms

By signing up via Google Sign-In and using PrivateVoice, you explicitly confirm your acceptance and agreement with these Terms and the Privacy Policy. Signing up and using the Application is considered explicit acknowledgment and consent to abide by these Terms and the Privacy Policy.

2. License and Use

Subject to your compliance with these Terms and payment of applicable subscription fees, Basebright Inc. grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Application solely for personal and professional purposes on compatible macOS devices.

3. Application Description

PrivateVoice is speech-to-text software exclusively designed for macOS, enabling users to convert voice input directly into editable text fields through designated keyboard shortcuts. Installation occurs via a downloadable DMG file.

4. Subscription, Payment, and Refunds

PrivateVoice offers several subscription plans processed securely through our payment provider, Stripe:

  • Monthly Subscription
  • Yearly Subscription
  • Lifetime Subscription (one-time fee)

Subscriptions renew automatically unless canceled by the subscriber before the renewal date. Users must manage subscriptions and cancellations via their account settings.

Subscription Pricing and Changes:
Your subscription renewal price will remain fixed at the rate you initially signed up with. However, if we are unable to maintain the service at your original subscription price, we will notify you and propose a new price. You will then have the option to accept the new price or cancel your subscription. If you do not accept the revised price, your subscription will automatically end after the current billing cycle.

Lifetime License Terms and Conditions

A Lifetime License provides you indefinite access to the purchased macOS application via a non-exclusive, non-transferable license for use on devices meeting the minimum system requirements at the time of purchase. Lifetime specifically refers to the duration of the software's availability and your compliance with these Terms and Conditions, without additional fees beyond the initial payment.

Lifetime License Pricing:
By purchasing a lifetime license, you acknowledge and accept that the price of lifetime licenses may increase or decrease in the future. Such changes in pricing do not entitle you to any refunds, credits, adjustments, or compensation.

Important Limitations:

  • Updates and Enhancements:
    We aim to regularly enhance and update our software; however, the purchase of a Lifetime License does not constitute a guarantee of future updates, additional features, enhancements, or specific functionality. All updates are provided at our sole discretion, and withholding such updates will not constitute a breach of this agreement or applicable consumer protection laws.

  • Customer Support:
    While we strive to offer timely and high-quality customer support, the Lifetime License does not include an indefinite guarantee of support services. We reserve the right to modify, reduce, or discontinue customer support at any time and at our discretion, provided reasonable notice is given if required by applicable laws.

  • Availability:
    Lifetime access depends upon the ongoing technical feasibility and compatibility of the app with your device(s). "Technical feasibility" includes the software’s ability to function as originally intended on supported macOS versions and hardware. We reserve the right to discontinue sales or further development of the product. If the product is discontinued, your access will remain limited to the last available version compatible with your existing macOS device.

Free Trial Period

All users receive a two-week free trial to thoroughly evaluate the application’s performance and functionality before committing to a purchase. It is your responsibility to ensure satisfaction during this trial period. Refund eligibility for Lifetime License purchases is governed explicitly by our standard refund policy, which may include specific exclusions or limitations for Lifetime License transactions following the trial period.

By purchasing a Lifetime License, you acknowledge and agree to these clarified terms and conditions.

Refund Policy:
Due to the availability of a 14-day free trial period, subscription purchases are generally non-refundable. However, if you encounter significant technical issues preventing proper use of the Application, please contact us at support@privatevoice.app. Refund requests are reviewed individually on a case-by-case basis without guaranteed timelines or outcomes.

5. Trial Period

A free 14-day trial period is provided for users to evaluate the Application's features. After the trial expires, continued access requires an active subscription.

6. Privacy and Data Protection

Your privacy is critically important to us. PrivateVoice processes all voice data and transcribed text exclusively on your local macOS device. The Application does not transmit voice or recognized text data externally. Please refer to our Privacy Policy for comprehensive details.

Compliance with Privacy Laws

We are committed to protecting your personal data and fully comply with applicable privacy laws, including but not limited to:

  • General Data Protection Regulation (GDPR)
  • California Consumer Privacy Act (CCPA)

7. Diagnostic and Usage Data

Diagnostic and usage data collection is integral to improving and maintaining the core functionality of PrivateVoice. By using the Application, you explicitly consent to the collection and use of diagnostic and usage data as described. This data includes application launch events, interaction statistics, technical performance metrics, and device details.

If you wish to limit diagnostic data collection or have concerns, contact support@privatevoice.app for assistance and alternatives.

8. User Responsibilities and Acceptable Use

You are solely responsible for the content you produce using PrivateVoice. You agree not to use the Application:

  • for any unlawful, harmful, fraudulent, or objectionable activities;
  • in a way that violates any applicable law, regulation, or rights of others;
  • to transmit or store harmful code, malware, or software that might disrupt service integrity.

You shall not reverse engineer, decompile, disassemble, alter, or create derivative works from the Application.

9. Intellectual Property Rights and Third-Party Services

All intellectual property rights related to PrivateVoice, including software, trademarks, logos, designs, and content, belong exclusively to Basebright Inc., except for the Whisper speech recognition model developed by OpenAI under the MIT license.

PrivateVoice utilizes the following third-party services, each governed by its respective Terms of Service and Privacy Policy:

By using PrivateVoice, you explicitly acknowledge and consent to comply with the terms and privacy policies of these third-party services. You agree that Basebright Inc. shall not be liable for any losses, disruptions, or security breaches resulting from failures of third-party services.

10. Termination and User Data Deletion

Basebright Inc. reserves the right, without prior notice, to suspend or terminate your access to the Application for any breach of these Terms, harmful activity toward other users or the Application, or upon receipt of your explicit request via email to terminate your account.

Upon termination of your account, we commit to deleting all user-associated data within 60 days, unless legally required otherwise. You may explicitly request deletion of your data at any time by emailing support@privatevoice.app. We commit to initiating data deletion requests promptly upon receiving them, but completion timelines may vary based on third-party service providers' policies and technical constraints.

11. Limitation of Liability

The Application is provided on an "as-is" basis. To the fullest extent permitted by law, Basebright Inc. disclaims all warranties, expressed or implied. We explicitly disclaim responsibility or liability for accuracy, reliability, or effectiveness of the speech recognition functionality of PrivateVoice. Under no circumstances shall Basebright Inc. be liable for indirect, consequential, incidental, punitive, or exemplary damages resulting from your use or inability to use the Application.

12. Indemnification

You acknowledge and explicitly agree that Basebright Inc. is not responsible or liable for any consequences, damages, or outcomes arising from your use or misuse of PrivateVoice. You agree to indemnify, defend, and hold harmless Basebright Inc., its officers, employees, and agents from and against all claims, damages, liabilities, losses, costs, or expenses arising directly or indirectly from your use or misuse of the Application or breach of these Terms.

13. Modifications to Terms

We reserve the right to update these Terms at any time. Updates become effective upon posting online. Continued use of the Application after updates indicates your acceptance of the new Terms.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware. Any legal actions related to these Terms shall be exclusively filed and heard in the competent courts located in Delaware.
